The corporate practice group engages in a highly sophisticated corporate, securities and tax practice and represents a wide variety of corpor
ate and other business clients, including NYSE- and Nasdaq-listed companies, investment banking firms, private equity funds, emerging technology-based ventures, privately owned businesses and high-net-worth individuals.
Matters handled include public and private debt and equity financings as company counsel and underwriters’ counsel, joint venture and real estate financings, senior credit facilities, mergers and acquisitions, corporate governance and Sarbanes-Oxley and executive compensation disclosure compliance, contract negotiations, reorganizations, recapitalizations and restructuring transactions.
The public finance practice group routinely serves as bond counsel, special tax counsel, issuer’s counsel, disclosure counsel, underwriter’s counsel, placement agent’s counsel, counsel to municipal bond insurance companies and letter of credit banks and borrower’s counsel in conduit financings.
Management labor and employment attorneys in the office have substantial experience representing employers in a broad scope of traditional labor and employment issues, including everything from rendering day-to-day counseling and advice to union corporate campaigns and the litigation of class, multiple and individual claims.
Arkansas attorneys, working together out of the firm's Little Rock and Fayetteville offices and utilizing the firm's national resources, have been involved with a number of significant engagements across the United States, including Arkansas-based clients and projects. Recent examples include:
- Representing a Fortune 100 company in its $1.5 billion sale of a division to a unit of Berkshire Hathaway Corporation.
- Representing a NYSE-listed telecom company in the $9 billion spin-off of its wire line assets into a separate NYSE company.
- Representing a Nasdaq-listed information services provider in its public and private company acquisition program and in a $300 million stock buyback Dutch auction self tender offer.
- Representing a NYSE-listed wireline telecom company $1.9 billion financing transaction which included $1.4 billion in credit facilities and $500 million Rule 144A high-yield debt offering and subsequent Exxon Capital exchange offer.
- Representing the audit committee of a Nasdaq company in its investigation of the company’s historical stock option granting practices.
- Representing an NYSE-listed hospitality company in its ongoing asset securitization program.
- Serving as bond counsel to various Arkansas political subdivisions in connection with the issuance of tax-exempt governmental bonds and private activity bonds, including numerous multifamily housing financings.
- Representing a hotel, restaurant and gaming concern in connection with a union corporate campaign, including litigation arising out of such activity.
- Representing an international manufacturer in connection with a union corporate campaign, including litigation arising out of such activity.
- Defense of a NYSE-listed chemical manufacturing company in race-based class action litigation.
